These Terms of Service (the “Terms”) govern your use of the perp101 website (the “Site”, operated by mnmedia), including its content and tools. By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms; if you do not agree, you must stop using the Site immediately.

1. Nature of the service: education and information only

The Site is an independent educational and informational website providing tutorials and calculation tools relating to cryptocurrency derivatives (perpetual contracts / futures). The Site is not affiliated with, an agent of, or in any official partnership with Binance or any exchange, and is not a financial institution. All content is provided for general information and educational purposes only and should not be regarded as professional advice tailored to your individual circumstances.

2. Not investment advice

Nothing on the Site constitutes, or should be construed as, investment advice, financial advice, trading advice, legal or tax advice, or an offer or solicitation. No advisory, fiduciary, or agency relationship is created between you and the Site. All investment and trading decisions are made at your own discretion and entirely at your own risk; you should consult a suitably qualified professional before making any decision.

3. Risk disclosure

Trading cryptocurrencies and derivatives (leverage / futures) involves extremely high risk and may result in the loss of all of your capital, and in some cases losses may exceed your initial investment. You fully understand and voluntarily accept all of the risks of trading, including but not limited to market risk, liquidity risk, forced liquidation, technical failures, and regulatory risk. Whether to engage in such trading is for you to assess and is your sole responsibility.

The calculators and tools provided on the Site (profit and loss, liquidation price, fees, funding rate, position size, etc.) are for rough estimation and illustration only, are based on simplified assumptions, and are not guaranteed to match the actual figures of any exchange. Actual fees, funding rates, margin, liquidation prices, and execution results depend on the exchange’s real-time parameters, rules, and market conditions, and may differ significantly from the Site’s estimates. You must rely on the data shown on the exchange’s official pages and must not rely on the Site’s tools as the sole basis for any trading decision.

5. Accuracy of content

Content on the Site is provided “as is”. We make reasonable efforts to keep information correct and up to date, but we do not warrant the accuracy, completeness, timeliness, or suitability of any content. The cryptocurrency industry and exchange rules change rapidly, content may become outdated or contain errors, and the Site may modify or remove content at any time without notice.

6. Third-party links and affiliate referrals

The Site contains links to third-party websites (including Binance), some of which are affiliate links. If you register or trade through such links, the Site may receive compensation; however, this does not increase your costs in any way, and the Site’s referral links neither provide nor reduce any additional discount or fee. The Site accepts no responsibility for the content, policies, or conduct of any third-party website, product, or service; any dealings between you and a third party are solely between you and that third party and do not involve the Site.

7. Disclaimer of warranties

To the maximum extent permitted by law, the Site is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, security, or freedom from viruses. 8. Limitation of liability

To the maximum extent permitted by applicable law, perp101, mnmedia, and their operators and contributors shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages (including but not limited to trading or investment losses, loss of profits, loss of data, loss of goodwill, or other intangible losses) arising out of or in connection with your use of or inability to use the Site, your reliance on any content or tool, or any matter relating to the Site, even if advised in advance of the possibility of such damages.

In any event, and regardless of the form of action (whether in contract, tort, negligence, statute, or otherwise), the total aggregate liability of perp101, mnmedia, and their operators and contributors to you for all claims arising out of or in connection with the Site or these Terms shall not exceed one hundred euros (€100). This is a single aggregate cap on all such claims taken together, not a cap per claim, and applies even though the Site is provided free of charge.

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for any other liability that cannot be excluded or limited under applicable law (including mandatory Czech and EU consumer-protection rules). If any exclusion or limitation in these Terms (including the cap above) is held invalid or unenforceable, it shall apply to the greatest extent permitted by applicable law and the remaining provisions shall continue in full force.

9. Your responsibilities and undertakings

You represent and warrant that:

• you have reached the age of full legal capacity required by the laws of your jurisdiction (generally 18 or older) and have the authority to agree to these Terms;
• you will comply with all applicable laws and regulations in your jurisdiction, and you will confirm for yourself that engaging in cryptocurrency or derivatives trading is lawful where you are located;
• you are solely responsible for verifying the regulatory and licensing status of any exchange or service you use (including Binance) in your own jurisdiction; the Site makes no representation as to any exchange’s regulatory status;
• you will be solely responsible for any tax obligations arising from your trading;
• you will not use the Site in any way that is unlawful, abusive, or that could harm the Site or others.

10. Indemnification

You agree to indemnify and hold harmless perp101, mnmedia, and their operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, your breach of these Terms, or your infringement of any third-party rights.

11. Intellectual property

Except where otherwise indicated, the content, design, trademarks, and tools of the Site are owned by or licensed to perp101 / mnmedia and are protected by applicable intellectual-property laws. The Site grants you only a limited, revocable licence to view the Site for personal, non-commercial use; you may not reproduce, distribute, modify, or commercially exploit it without prior written consent.

12. Availability and changes to the service

The Site does not guarantee continuous, uninterrupted availability. The Site may modify, suspend, or terminate all or part of its functionality at any time and for any reason, without prior notice, and shall not be liable to you or any third party for doing so.

13. Changes to these Terms

The Site may revise these Terms at any time. Revised Terms take effect once posted on this page; your continued use of the Site after the changes constitutes acceptance of the revised Terms. Please review the “Last updated” date at the top of this page periodically.

14. Governing law and jurisdiction

These Terms, and their interpretation and application, are governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict-of-laws principles. The courts of the Czech Republic shall have jurisdiction over any dispute arising out of or relating to these Terms or your use of the Site, without prejudice to any mandatory consumer-protection rules that may grant you the right to bring proceedings in the courts of your country of residence.

15. Severability and entire agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Site regarding your use of the Site.
